Online Purchases and Other Terms and Conditions
We use https://www.winedirect.com/ (“Wine Direct”) as our direct-to-consumer solution provider. All purchases of goods available on our Website are facilitated by and fulfilled through Wine Direct. You acknowledge and agree that any such purchases will be subject to the policies on the above-referenced Wine Direct website, as such policies may be amended from time to time by Wine Direct in its sole discretion. Orders are by credit card only. We accept Visa, Mastercard, Discover, and American Express. The billing address for any such credit cards needs to be provided at the time of your order and must be the address on your credit card statement.
If you purchase a membership to our wine club, you agree to continuous enrollment in the wine club until you cancel your membership. The recurring charges for the membership (and if that amount may change, the new amount, if known) will be disclosed to you at time you sign up for the membership. There is no (annual) fee for the wine club membership. You can cancel your membership by calling us at (425) 481-7070 or emailing us at info@markryanwinery.com.
State Law Limitations
Some states limit the quantities of products we may ship to you or the person for whom you have ordered our products. Some states prohibit direct to consumer shipping of alcoholic beverages. Accordingly, we may need to modify or cancel an order. We will contact you if we need to do so.
Website Errors
Occasionally, our listed prices, bottle sizes or quantities may be incorrect (including out of stock), despite our product database indicating otherwise. We will correct errors when we discover them. If your credit card has been charged for an item in regards to which we have discovered an error and your order is cancelled, we will credit your original form of credit for the charge. If your card has not been charged, we will modify the order with the correct information and charge your card or, if you prefer, we will cancel the order.
Changes to Pricing and Availability
We may change product pricing, availability, or both at our discretion.
Legal Age Requirement
We do not sell alcohol to persons under the age of 21 and make every effort to ensure that alcoholic beverages are not delivered to anyone under the age of 21. By using this Website you represent that you are at least 21 years of age. By placing an order on this Website, you further represent to us that the person to whom any alcohol beverage will be delivered is also at least 21 years of age. In addition, you acknowledge that receipt of shipments containing alcoholic beverages requires the signature of a person who is at least 21 years old and who is not intoxicated and that proof of age will need to be produced. You further acknowledge, that if an appropriate person is unavailable to sign for the shipment, it may be returned to Us and you will be refunded the purchase price less shipment and restocking costs. You also agree that any alcoholic purchased from us is for personal consumption and not for resale.

Indemnification

Governing Law and Jurisdiction
All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the Federal Arbitration Act and the internal laws of the State of Washington without giving effect to any choice or conflict of law provision or rule (whether of the State of Washington or any other jurisdiction).
Arbitration.
You agree that any dispute, controversy, or claim arising out of or related to your use and/or access of the Website shall be finally resolved by binding individual arbitration in accordance with the International Institute for Conflict Prevention and Resolution (“CPR”). Any claim brought by you against the Company shall be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Arbitration shall be held before a single arbitrator selected according to the Rules. Venue for arbitration shall be determined pursuant to the Rules, or the state of the Company’s headquarters if you agree. Discovery in any arbitration proceeding shall be conducted as permitted by the arbitrator to the extent he or she concludes such discovery is required to achieve an efficient and just resolution; once authorized, such adequate discovery shall be conducted according to the Rules. When considering the scope of discovery, the arbitrator shall consider, in addition to the considerations set forth in Rule 11.2, the existence of any third-party privacy rights and the extent to which such privacy rights must be respected. Offers of compromise shall be served on the other party at least 14 days before the arbitration hearing commences and shall not be disclosed to the arbitrator until after the arbitral award is issued. The arbitrator shall give the same force and effect to offers of compromise as an offer of judgment under FRCP 68. The arbitrator shall issue a written, reasoned award, which shall be final and binding upon the parties. Aside from the Individual Person Filing Fee established by CPR, the Company shall pay all costs of the arbitration proceeding, including all arbitrator compensation, except that the Company and you shall each bear our own attorney fees in any arbitration proceeding unless otherwise required by law. The Company and you agree that this agreement shall be governed under the Federal Arbitration Act, 9 U.S.C.§§ 1 et seq., and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Class Claims. The arbitrator is prohibited from consolidating the claims of multiple persons into one proceeding. This means an arbitrator shall hear only individual claims and is prohibited from fashioning a proceeding as a class, collective, representative, joint, or group action, and may not award relief to a group of claimants or employees in one proceeding. Any question or dispute concerning the scope or validity of this paragraph shall be decided by a court of competent jurisdiction and not the arbitrator. Should a court determine that this prohibition on class, collective, representative, joint, or group actions is invalid for any reason, the parties hereby waive any right to arbitration of the class, collective, representative, joint, or group action at issue and instead agree and stipulate that such claims will be heard only by a judge and not an arbitrator or jury, to the maximum extent permitted by law. Additionally, the parties agree that if a party brings an action that includes both claims subject to arbitration under this Agreement, and claims that by law are not subject to arbitration, all claims that by law are not subject to arbitration shall be stayed until the claims subject to arbitration are fully arbitrated. The parties further agree that in such a situation, the arbitrator’s decision on the claims subject to arbitration, including any determinations as to disputed factual or legal issues, shall be dispositive and entitled to full force and effect in any separate lawsuit on claims that by law are not subject to arbitration.
Multiple Similar Claims. The parties further agree that, if applicable, the procedures of the CPR Employment-Related Mass Claims Protocol shall also govern the arbitration. The Protocol may be found here.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Mark Ryan Winery, LLC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
